About the Role

TIG Holding is seeking an experienced Legal Counsel to serve as the Group’s dedicated in-house legal resource, providing centralized legal support to Group entities operating in the UAE, Europe, and the United Kingdom.

The role is responsible for establishing a consistent legal framework across the Group, managing contractual and regulatory risk relating to tenders, projects, consultancy and supplier engagements, and acting as the principal coordinator between Group entities and external legal counsel on all legal matters.

Key Responsibilities

Group-Wide Legal Coordination
  • Act as the central point of legal coordination across all Group entities, ensuring consistency in legal standards, processes, and documentation.
  • Liaise directly with the management of each entity to understand local legal requirements and ensure Group-level legal positions are implemented and observed.
  • Manage and instruct external legal counsel in the UAE, MENA, Germany, the United Kingdom, and other jurisdictions.
  • Control the scope, cost, quality, and turnaround time of advice provided by external counsel.
  • Provide periodic legal reports to the Group Finance Director covering negotiations, contractual exposure, disputes, regulatory developments, and matters requiring management attention.
  • Maintain a Group-level overview of legal commitments, key contract dates, regulatory deadlines, and renewal obligations across all entities.
Group Legal Policies, Standards, and Frameworks
  • Develop, document, and implement Group-wide legal policies and procedures.
  • Establish policies covering contracting authority, delegated signing powers, NDA handling, supplier and consultancy engagement, dispute escalation, and external counsel engagement.
  • Create a Group standard for contract review and approval, including templates, escalation thresholds, approval levels, and sign-off workflows.
  • Define, implement, and update compliance policies covering anti-bribery and corruption, conflicts of interest, data protection, confidentiality, and related matters.
  • Review legal policies periodically to ensure alignment with changes in legislation and Group operations.
  • Provide training and guidance to staff on legal policies, contract handling, compliance obligations, and risk identification.
Contracts and Tenders
  • Review, draft, and negotiate contracts for projects and tenders pursued by Group entities.
  • Ensure commercial terms are accurately documented, contractual risks are identified, and obligations are clearly defined.
  • Support project and commercial teams in reviewing tender documents and preparing submissions.
  • Identify risky, unusual, or non-standard contractual clauses and recommend qualifications, exclusions, or clarifications.
  • Support negotiations with clients, main contractors, partners, and other counterparties during tender and contract-award stages.
  • Maintain a Group contracts register covering material project and tender contracts, key milestones, expiry dates, and renewal obligations.
Consultant and Supplier Agreements
  • Draft, review, and negotiate service contracts and consultancy agreements with consultants, advisers, vendors, and suppliers.
  • Ensure agreements contain appropriate provisions covering scope of work, deliverables, payment terms, confidentiality, intellectual property, indemnity, liability, and termination.
  • Coordinate with procurement, finance, project, and operational teams to ensure supplier and consultant engagements are properly contracted before work commences.
NDAs, Standard Terms, and Legal Templates
  • Develop and maintain a Group-wide library of approved legal templates.
  • Maintain mutual and one-way NDAs, terms and conditions of sale and purchase, consultancy agreements, framework agreements, and other commonly used legal instruments.
  • Periodically update standard terms and conditions to reflect developments in GCC law and Group commercial practices.
  • Ensure updated templates are rolled out consistently across all Group entities.
  • Draft and process NDAs requested by Group entities in a timely manner.
  • Maintain a centralized record of NDAs and other legal agreements currently in force.
Compliance and Regulatory Support
  • Support Group entities in complying with applicable commercial, corporate, employment, data-protection, and regulatory laws in the jurisdictions where they operate.
  • Monitor legislative and regulatory developments that may affect Group operations.
  • Brief management on relevant legal changes, risks, and recommended actions.
  • Assist with corporate documentation, trade-licence renewals, regulatory filings, and related legal-administrative requirements.
  • Coordinate with PRO, Administration, Human Resources, Finance, and other internal teams on regulatory matters.
Dispute Management
  • Manage pre-litigation correspondence, demand letters, legal notices, claims, and responses issued by or received by Group entities.
  • Coordinate with external counsel on litigation, arbitration, mediation, or other legal proceedings involving Group entities.
  • Keep management informed of dispute status, potential exposure, legal strategy, cost, and required actions.
  • Maintain complete and organized records of disputes, claims, legal notices, and related correspondence.
  • Support commercial and operational teams in resolving contractual and business disputes before they escalate.
